This License Agreement (“Agreement”) is entered into by and between Social Good Software (“Licensor”) and the user of the Ticket Scanner Web Application (“Licensee”). By downloading, installing, or using the Ticket Scanner Web Application (the “Software”), the Licensee agrees to be bound by the terms of this Agreement.
1. Grant of License
1.1 Scope of License
The Licensor grants the Licensee a non-exclusive, non-transferable, revocable license to use the Software, including its associated web-based features and native components, for the sole purpose of scanning tickets for events managed by the Licensee.
1.2 Restrictions
The Licensee may not:
- Reverse engineer, decompile, or disassemble the Software.
- Modify or create derivative works based on the Software.
- Sell, sublicense, lease, or distribute the Software to third parties.
- Use the Software for any purpose other than scanning tickets for authorized events.
1.3 Ownership
All rights, title, and interest in and to the Software, including but not limited to its source code (Swift, Java, and other components), remain the sole property of the Licensor.
2. Usage Requirements
2.1 Supported Platforms
The Software is designed for use on devices running iOS and Android operating systems. It requires an active internet connection and access to the Licensee’s ticketing system.
2.2 Compliance
The Licensee agrees to comply with all applicable laws and regulations when using the Software.
3. Limitations of Liability
3.1 No Warranty
The Software is provided “as-is” without any warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
3.2 Limitation of Liability
The Licensor shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of the use or inability to use the Software.
4. Confidentiality
4.1 Protection of Data
The Licensee agrees not to disclose or share any proprietary information, including Software features, performance metrics, or any related documentation, without the prior written consent of the Licensor.
4.2 User Data
The Software may process ticket data for scanning purposes. The Licensor does not store or retain user data beyond what is necessary for the operation of the Software.
5. Termination
5.1 Breach of Agreement
This license may be terminated immediately if the Licensee breaches any terms of this Agreement.
5.2 Effect of Termination
Upon termination, the Licensee must cease all use of the Software and destroy all copies in their possession.
6. Updates and Support
6.1 Updates
The Licensor may, at its discretion, provide updates or enhancements to the Software. Such updates will be subject to the terms of this Agreement.
6.2 Support
Support services, if any, will be provided as specified in a separate agreement or as outlined on the Licensor’s website.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Utah, without regard to its conflict of law provisions.
8. Entire Agreement
This Agreement constitutes the entire understanding between the Licensor and the Licensee and supersedes all prior agreements, representations, and understandings regarding the Software.
9. Acknowledgment
By using the Software, the Licensee acknowledges that they have read, understood, and agree to be bound by the terms of this Agreement.
